Any consulting or development services are governed by a separate written agreement or SoW. If these Terms conflict with an executed agreement or SoW, the latter prevails for those services. Estimates, proposals, and timelines are not binding unless expressly stated and signed.

Where applicable, fees, payment schedules, and taxes are specified in the relevant SoW or invoice. Late payments may incur interest at the maximum rate permitted by law. You are responsible for all applicable taxes, except those based on our net income.

These Terms are governed by the laws of India, without regard to conflicts of law principles. Exclusive jurisdiction and venue shall be in the courts of Pune, Maharashtra, India (replace with your preferred venue). The United Nations Convention on Contracts for the International Sale of Goods does not apply.
